These Terms of Service apply to all contracts between Jörg Bort, Höhrenbergstr. 6g, 78476 Allensbach (further details in the Legal Notice), and customers regarding the licensing of the modules and suite editions for Group Office offered on this website. The offer is aimed exclusively at businesses (§ 14 BGB), freelancers and self-employed professionals. Any deviating terms of the customer are not recognized unless their validity is expressly agreed to in writing.
The presentation of modules and editions on this website does not constitute a binding offer but an invitation to order. By completing the order process at checkout, the customer makes a binding offer to purchase the license. The purchase contract is concluded upon order confirmation by Paddle.
The sale of the licenses and order processing are handled by our online reseller Paddle.com Market Ltd. ("Paddle"). Paddle acts as Merchant of Record and is the seller of the license; the purchase contract for the license is therefore concluded between the customer and Paddle, and Paddle's Buyer Terms apply in addition. Jörg Bort is the licensor: he grants the customer the rights of use to the software and provides the software, updates and license code. These Terms govern this license relationship.
If a consumer (§ 13 BGB) concludes the contract, their express, separately confirmed consent is obtained during the ordering process that provision of the license is to begin before the statutory withdrawal period expires; at the same time the consumer confirms having taken note that this means they lose their right of withdrawal once the license has been provided (see section 8 and the separate withdrawal notice).
The subject of the contract is the granting of a time-limited, non-exclusive right of use (license) to the ordered modules for the selected suite edition, including software updates during the current contract term. The licensor, and thus the contracting party for the granting of the rights of use and for the provision of the software, updates and license codes, is Jörg Bort, regardless of the fact that the license is sold via Paddle (see sections 2 and 4).
The prices listed on the website at the time of order apply. As the offer is aimed exclusively at businesses, freelancers and self-employed professionals, all prices are net prices, plus statutory VAT at the applicable rate. The license fee is billed annually in advance. The customer installs the licensed modules independently using the documentation provided.
Payment processing, invoicing, and VAT remittance are handled by Paddle as the seller and Merchant of Record. Paddle's Buyer Terms apply in addition (paddle.com/legal/buyer-terms).
The license contract has a term of one year and automatically renews for a further year unless terminated with four weeks' notice before the end of the respective term. A software version already delivered remains technically usable indefinitely after the contract ends, but no longer receives updates (see also the documentation on updates and rollback).
The renewed license code is issued manually after the automatic renewal payment is received and is sent to the customer by email; this can result in a short delay between payment and delivery of the new code. The most recently installed software version remains fully usable during this transition period.
The customer is obliged to use the license only within the contractually agreed scope (number of users, edition) and to keep access credentials/license codes confidential. Passing on the licensed modules to third parties is not permitted without prior written consent.
The license code is technically bound to the domain of the customer's Group Office installation specified at the time of order and works exclusively on that domain. If the domain subsequently changes (e.g. due to a server move), the customer must inform me in good time so that a license code issued for the new domain can be provided.
Statutory warranty provisions apply. Jörg Bort is liable for damages only in cases of intent or gross negligence, and for breach of material contractual obligations; in the latter case limited to the damage typically foreseeable for this type of contract. Liability for slight negligence is otherwise excluded to the extent permitted by law.
Consumers generally have a statutory right of withdrawal of 14 days when concluding a contract by means of distance selling. As the license constitutes digital content not supplied on a physical medium, this right of withdrawal expires early pursuant to § 356 (5) of the German Civil Code (BGB) once provision of the license has begun, after the customer has expressly consented during the ordering process that provision is to begin before the withdrawal period expires and has confirmed that they thereby lose their right of withdrawal (see section 2). A withdrawal is therefore excluded once the license has been provided. Details and exceptions are set out in the separate withdrawal notice.
If the customer concludes the contract as a business (§ 14 BGB), there is generally no statutory right of withdrawal. A refund of the license fee is excluded once the license code has been provided.

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Should any provision of these Terms be invalid, the validity of the remaining provisions remains unaffected. The place of jurisdiction for merchants is Konstanz.
